Agreement to Terms

By accessing or using X Solar USA's services, including our solar panel monitoring platform and website, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

Description of Services

X Solar USA provides:

• Solar Panel Monitoring: Automated 24/7 monitoring of your solar system's reported performance, energy production tracking, and alerts
• Service Coordination: Professional and Premium plans provide access to vetted service partners for separately quoted cleaning, repairs and maintenance
• Performance Audits: Comprehensive system performance analysis and optimization recommendations
• Warranty Management: Premium includes assistance with warranty claims and documentation

How Our Services Work

• Monitoring requires compatible equipment, account authorization and a working data connection. Reporting intervals and detectable issues depend on the equipment, permissions and third-party data feeds; interruptions can occur.
• 24/7 monitoring describes automated monitoring, not continuously staffed human support or emergency response. Use the support channels included in your plan.
• Production readings and alerts support investigation. They do not diagnose every physical fault, prevent equipment failures, or guarantee production, savings or a financial return.
• Cleaning, inspections, diagnosis, repairs, parts, labor, roof work, removal and reinstallation are quoted separately. Provider availability, access requirements and scheduling must be confirmed before authorizing work.
• Warranty management helps organize records and claim follow-up; it is not new warranty coverage or a transfer of the original installer’s obligations. The manufacturer or responsible provider determines eligibility under its own terms.

Account Registration

To use certain features of our services, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain the security of your account credentials
• Promptly update any changes to your information
• Accept responsibility for all activities under your account

Subscription and Payment

Service Plans

X Solar USA offers various subscription plans with different features and pricing. Plan details are available on our website and may be updated from time to time.

Billing

Subscription fees are billed monthly in advance. You authorize us to charge your designated payment method for all applicable fees.

Cancellation

You may cancel your subscription at any time. Cancellation will be effective at the end of your current billing period. No refunds are provided for partial billing periods.

Service Provider Network

We connect homeowners with vetted solar maintenance providers. Please note:

• Service providers are independent contractors, not employees of X Solar USA
• We vet providers for qualifications and insurance but do not guarantee their work
• Service agreements are between you and the provider
• X Solar USA is not liable for work performed by third-party providers

User Responsibilities

You agree to:

• Use our services only for lawful purposes
• Provide accurate information about your solar system
• Maintain proper access for monitoring equipment
• Not interfere with or disrupt our services
• Not attempt to reverse engineer or copy our technology

Intellectual Property

All content, features, and functionality of our services, including software, text, graphics, and logos, are owned by X Solar USA and protected by intellectual property laws. You may not reproduce, distribute, or create derivative works without our written permission.

Limitation of Liability

To the maximum extent permitted by law:

• X Solar USA is not liable for any indirect, incidental, or consequential damages
• Our total liability shall not exceed the fees paid by you in the preceding 12 months
• We are not responsible for losses due to system failures, data inaccuracies, or third-party actions
• Monitoring data is provided for informational purposes and should not be the sole basis for critical decisions

Disclaimer of Warranties

Our services are provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that our services will be uninterrupted, error-free, or completely secure.

Indemnification

You agree to indemnify and hold harmless X Solar USA and its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of our services or violation of these terms.

Termination

We may suspend or terminate your access to our services at any time for violation of these terms or for any other reason. Upon termination, your right to use our services will immediately cease.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, without regard to its conflict of law provisions.

Dispute Resolution

Any disputes arising from these terms or our services shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated terms on our website. Your continued use of our services after changes are posted constitutes acceptance of the new terms.
